FREE TRIAL TERMS OF USE

COPTIS SaaS – Free Trial Access for Up to One Month

PROVIDER AND APPLICANT

COPTIS, a simplified joint stock company (SAS) with a capital of €40,000, having its registered office at 51 rue de Miromesnil, 75008 Paris, France, registered in the Paris Trade and Companies Register under number 423 056 589, represented by its CEO Mr. Roland DE HEERE (hereinafter “COPTIS”).

The company identified in the free trial request form (hereinafter the “Trial User” or “Customer”).

Hereinafter individually referred to as a “Party” and collectively as the “Parties”.

By checking the acceptance box and submitting the free trial request form, the applicant acknowledges having read and accepted these Terms of Use on behalf of the company identified in the form. Submission of a request does not grant immediate access to the Solution. COPTIS reviews each request and decides whether to grant access or propose a preliminary demonstration.

PREAMBLE

COPTIS develops and markets Coptis Lab, a SaaS software solution dedicated to cosmetic formulation and regulatory management. As part of its commercial development, COPTIS wishes to offer qualified prospects a free, time-limited access to its solution — the “Free Trial” — so they can evaluate it autonomously, based on available Video Learning resources.

These Free Trial Terms of Use (the “Agreement”) sets out the terms and conditions under which the Trial User may access the Coptis SaaS solution during the Trial Period. This Agreement does not constitute any commitment or obligation to purchase by either Party.

  • Article 1 – PURPOSE

The purpose of this Agreement is to define the conditions under which COPTIS grants the Trial User a free, temporary, non-commercial right to access and use the Coptis SaaS solution (the “Solution”) for evaluation purposes only, for a period of up to one (1) month, as confirmed by COPTIS before activation.

This Agreement does not include any implementation services, dedicated configuration, data migration, or technical support. The Trial User acknowledges that they will self-onboard using the Video Learning resources made available by COPTIS.

  • Article 2 – DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meaning set out below:

  • “Solution” means the Coptis SaaS software platform (Coptis Lab), including any modules made available during the Trial Period as described in Exhibit A.
  • “Trial Period” means the evaluation period determined by COPTIS based on the Trial User’s evaluation needs, up to a maximum of one (1) month. The exact duration shall be confirmed in writing to the Trial User before activation. The Trial Period starts on the date of activation of the Trial User’s access credentials.
  • “Trial User” means the company identified above and any persons it authorises to access the Solution during the Trial Period (“Users”), up to the maximum number specified in Article 4.
  • “Video Learning” means the online self-training resources made available by COPTIS to facilitate autonomous onboarding of the Solution.
  • “Trial Data” means any data entered into the Solution by the Trial User or its Users during the Trial Period.
  • “Confidential Information” means any non-public information disclosed by either Party in connection with this Agreement.

  • Article 3 – TERM

The applicant accepts this Agreement by checking the acceptance box and submitting the free trial request form. If COPTIS approves the request, COPTIS will confirm the exact duration of the Trial Period in writing before activating access. The Trial Period shall not exceed one (1) month and shall start on the date of activation of the Trial User’s access.

This Agreement shall terminate automatically at the end of the Trial Period, without any notice or formality required, unless the Parties agree in writing to convert the Trial into a paid subscription.

The Trial Period is not renewable under this Agreement. Any further access to the Solution following the Trial Period shall be governed by COPTIS’s standard General Terms and Conditions and the corresponding Order.

  • Article 4 – ACCESS TO THE SOLUTION

If COPTIS approves the request, COPTIS will provide the Trial User with login credentials granting access to the Solution in SaaS mode via a standard internet browser.

Access is granted to a maximum of three (3) named Users designated by the Trial User. The Trial User shall communicate the list of Users to COPTIS before activation.

Access is strictly personal and non-transferable. Users may not share their credentials. The Trial User is solely responsible for ensuring that its Users comply with the terms of this Agreement.

COPTIS reserves the right to modify the features available within the Trial at any time, with reasonable prior notice by email, particularly for maintenance or technical reasons.

The access environment provided is a dedicated trial environment. No live production data will be pre-loaded. The Trial User is solely responsible for any data entered into the Solution.

  • Article 5 – FINANCIAL CONDITIONS

Access to the Solution during the Trial Period is provided free of charge. No fees, royalties, or subscription costs are due by the Trial User under this Agreement.

Following the Trial Period, any continued use of the Solution shall be subject to a separate commercial agreement and the corresponding fees as set out in the applicable Order.

  • Article 6 – ONBOARDING – VIDEO LEARNING

COPTIS makes its Video Learning library available to the Trial User for the duration of the Trial Period. These resources are intended to enable the Trial User and its Users to autonomously discover and learn how to use the Solution.

COPTIS does not undertake to provide any training, implementation assistance, configuration services, or dedicated technical support as part of this Free Trial. Any such services may be proposed separately by COPTIS on a quoted basis.

COPTIS may, at its sole discretion, provide limited email support for critical technical issues preventing access to the Solution. This does not constitute a binding commitment.

  • Article 7 – AVAILABILITY

COPTIS will make reasonable efforts to ensure the availability of the Solution during the Trial Period. However, given the free and evaluation nature of the Trial, no service level agreement (SLA) or guaranteed availability rate is applicable.

Planned maintenance windows and emergency interventions may occur without prior notice. COPTIS cannot be held liable for any interruption of the Solution during the Trial Period.

  • Article 8 – OBLIGATIONS OF THE TRIAL USER

The Trial User undertakes to:

  • Use the Solution exclusively for the purposes of internal evaluation and testing;
  • Comply with all applicable laws and regulations in connection with its use of the Solution;
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Solution;
  • Not use the Solution for commercial purposes or to process data on behalf of third parties;
  • Not reproduce, copy, sell, resell, or exploit any portion of the Solution;
  • Not use the Solution to store or process personal data of third parties beyond what is strictly necessary for evaluation purposes;
  • Designate a contact person responsible for managing Users and communicating any issues to COPTIS.

  • Article 9 – INTELLECTUAL PROPERTY

COPTIS retains full and exclusive ownership of all intellectual property rights in and to the Solution, its Documentation, the Video Learning content, and any developments or improvements made thereto.

This Agreement grants the Trial User a limited, non-exclusive, non-transferable, revocable licence to access and use the Solution solely during the Trial Period and for evaluation purposes. No other rights are granted.

The Trial User shall not, directly or indirectly, infringe, challenge, or otherwise undermine COPTIS’s intellectual property rights. Any infringement shall entitle COPTIS to immediately terminate this Agreement without notice.

  • Article 10 – DATA & PRIVACY

The Trial User is solely responsible for the data it enters into the Solution during the Trial Period (“Trial Data”). COPTIS acts as a data processor with respect to any personal data contained in the Trial Data, in accordance with applicable data protection legislation (including GDPR).

The Trial User undertakes not to upload sensitive personal data into the Trial environment. COPTIS recommends using anonymised or synthetic data for evaluation purposes.

Upon expiry or termination of the Trial Period:

  • COPTIS will retain the Trial Data for a period of thirty (30) days after the end of the Trial Period.
  • During this period, the Trial User may request an export of its Trial Data in a standard format by contacting COPTIS at the address indicated in Article 14.
  • After this thirty (30)-day period, all Trial Data will be permanently deleted from COPTIS’s servers, without any compensation being due to the Trial User.

COPTIS’s Privacy Policy, available at www.coptis.com, applies to any personal data processed in connection with this Agreement.

  • Article 11 – CONFIDENTIALITY

Each Party undertakes to keep strictly confidential all Confidential Information received from the other Party in connection with this Agreement, and not to disclose it to any third party without the prior written consent of the disclosing Party.

This obligation shall not apply to information that: (i) is or becomes publicly available through no fault of the receiving Party; (ii) was already known to the receiving Party prior to disclosure; (iii) is independently developed by the receiving Party; or (iv) is required to be disclosed by law or court order.

This confidentiality obligation shall survive the termination of this Agreement for a period of two (2) years.

  • Article 12 – LIABILITY

GIVEN THE FREE AND EVALUATION NATURE OF THE TRIAL, THE SOLUTION IS PROVIDED “AS IS”, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

COPTIS shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to the Trial User’s use of, or inability to use, the Solution during the Trial Period, including but not limited to loss of data, loss of revenue, or business interruption.

In any event, COPTIS’s total aggregate liability under this Agreement shall not exceed €1.

  • Article 13 – TERMINATION

This Agreement terminates automatically at the end of the Trial Period.

Either Party may terminate this Agreement at any time before the end of the Trial Period by written notice sent by email, with immediate effect and without any obligation to justify such termination or pay compensation.

COPTIS may terminate this Agreement immediately and without notice in the event of:

  • a material breach by the Trial User of any provision of this Agreement;
  • any infringement of COPTIS’s intellectual property rights;
  • use of the Solution for commercial or fraudulent purposes.

Upon termination, the Trial User’s access to the Solution will be immediately revoked. The provisions of Articles 9 (Intellectual Property), 10 (Data), 11 (Confidentiality), 12 (Liability), 15 (Governing Law), and 16 (Non-Solicitation) shall survive termination.

  • Article 14 – NOTICES

Any notice or communication required or permitted under this Agreement shall be in writing and sent by email to the following addresses:

For COPTIS: contact@coptis.com / 51 rue de Miromesnil, 75008 Paris, France

For the Trial User: (email address provided above)

  • Article 15 – GOVERNING LAW & JURISDICTION

This Agreement is governed by French law.

Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Paris (France).

  • Article 16 – NON-SOLICITATION

The Trial User agrees not to solicit, recruit, or hire, directly or indirectly, any employee or contractor of COPTIS who has been involved in the performance of this Agreement, during the Trial Period and for a period of twelve (12) months following its expiry or termination.

  • Article 17 – GENERAL PROVISIONS

This Agreement constitutes the entire agreement between the Parties with respect to the Free Trial and supersedes all prior agreements or understandings, whether written or oral, relating to the same subject matter.

This Agreement may only be amended by a written instrument signed by both Parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of that Party’s rights.

Each Party is acting as an independent contractor. Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the Parties.
